Directors – Services

We provide Services in two phases that is before and on and after acceptance of directorship of a Company. Our focus will be Corporate Governance, Statutory Compliances and Financial Standing of the Company.

In the first phase, before you decide to accept the appointment of directorship of a Company, we perform following services.

  • Company information including Shareholding Pattern of Promoters and others
  • Directorship of existing Directors in other Companies
  • Trend analysis and Ratio analysis of the Company, its Subsidiaries / Associate Companies for last 3-5 years of audited financial statements to understand and report the indication of these financial analysis
  • Refer Directors Report, Auditors Report, Notes to Accounts of the Company and its Subsidiaries / Associate Companies and submit our observations on it
  • We will specifically focus on bank / financial institute borrowings and highlight the defaults, if any. We will highlight creation and satisfaction of charges with the bank / financial creditors, securities and guarantees offered and key terms of borrowings
  • Refer Internal Audit Reports, if provided and highlight Key control / corporate governance gaps in the Company reported by the Internal Auditor
  • In case of listed entity, we will refer Corporate actions, Board and General meetings agenda and its likely implications
  • In case of Non listed Companies, for the purpose of Corporate Governance, we will review records of the Company such as agenda and meetings of Board and General Meetings, statutory Registers etc
  • We will study forms / documents filed on the site of Ministry of Corporate Affairs for last 5-7 years
  • Highlighting Key Terms of Shareholders Agreement, if any
  • Trade volume analysis of a listed Company
  • We will visit few High court sites to report the litigations by and against the Company
  • We will report outstanding Income Tax, Withholding (TDS) and GST liabilities and pending tax litigations
  • We will visit certain Social medias to refer reviews posted by the public about the products / services provided by the Company
  • We will coordinate with the Law firm to advice you and prepare Indemnity and any other documents, if require to safeguard your financial / legal exposure
  • We will coordinate with Insurance Consultant to advice you appropriate insurance policies such as D & O to be taken to hedge the risk
  • Advice you on any of the above or any other matters relating to the subject matter

In the second phase that is on or after you accept the directorship of a Company, we perform following services.

  • We will review / prepare necessary documents such as DIR-2, MBP-1, DIR-8, DIR-12 and form MR-1, wherever applicable and assisting in filing the said e-forms with MCA.
  • To update you with changes, if any to Shareholding Pattern (including Promoters), composition of Board of Directors, Products / Services Company is dealing into.
  • Quarterly review of Trend analysis and Ratio analysis of the Company and its Subsidiaries / Associate Companies once the information is uploaded on exchange site or details are provided to us after the Board / General meetings to understand and report the indication of these financial analysis.
  • Refer Limited Review Reports of the Company and its Subsidiary / Associate Companies and submit our observations on it.
  • To report you with the changes in bank and other borrowings and highlight the defaults, if any, changes in creation and satisfaction of charges with the bank / financial creditors, securities and guarantees offered.
  • Periodic review of Internal Audit Report, if provided to us and highlight Key control / corporate governance gaps in the Company reported by the Internal Auditor.
  • In case of listed entity, we will refer Corporate actions, Board and General meetings agenda and its likely implications on Quarterly basis or as and when meeting is convened.
  • In case of Non listed Companies, for the purpose of Corporate Governance, we will review records of the Company such as agenda and meetings of Board and General Meetings, statutory Registers etc on Quarterly basis or as and when meeting is convened.
  • We will study forms / documents filed on the site of Ministry of Corporate Affairs once Board / General meetings are convened.
  • Trade volume analysis of a listed Company.
  • On Quarterly / Monthly basis, we will visit few High court sites to update you with the status of litigations by and against the Company.
  • We will update you with the status of outstanding Income Tax, Withholding (TDS) and GST liabilities and pending tax litigations on Quarterly / Monthly basis.
  • On Quarterly basis, we will appraise you with the comments posted on Social medias by the public about the products / services provided by the Company.
  • We will coordinate with the Law firm to check changes if any require in the indemnity or other documents executed with the Company or any additional documents, if any require to safeguard your financial / legal exposure.
  • On renewal of insurance policies, we will coordinate with Insurance Consultant to review insurance policies to align it with the risk.
  • Advice you on any of the above or any other matters relating to the subject matter.
